Nutrien Ltd. has announced an agreement to sell its 50 percent equity stake in Argentina-based nitrogen producer Profertil S.A.. The stake will be jointly acquired by Adecoagro S.A. and Asociación de Cooperativas Argentinas Coop Ltda, for an expected pre-tax value of approximately US$600 million.The sale is part of Nutrien’s strategy to streamline its portfolio and concentrate on core assets and geographies that align with its long-term vision. Proceeds from the transaction are intended to support the company’s capital allocation priorities, including targeted growth projects, debt reduction, and share repurchases.The deal is subject to customary closing conditions and is expected to be completed before the end of 2025. Under the terms of the Profertil shareholder agreement, the remaining 50 percent equity holder has a 90-day right of first refusal to purchase Nutrien’s equity on the same conditions.
Profertil’s contribution to Nutrien’s Nitrogen operating segment amounted to around US$60 million in earnings over the last four quarters. BofA Securities acted as financial advisor to Nutrien.
